This contract is made by and between the buyer and the seller ,whereby the seller agree to sell and the buyer agree to buy the under-mentioned commodity （be called by The Contract Goods） according to the terms and conditions stipulated as followed:

⒉包裝（Packing）
根據(jù)買(mǎi)方需求，同時(shí)應(yīng)滿足海上運(yùn)輸和陸路運(yùn)輸要求,及國(guó)家對(duì)出口貨物包裝的檢驗(yàn)要求。
All goods should be packed with meeting the requirement of buyer ,and ocean and inland transportation. Meanwhile, the packing should meet the requirement of CCIB.
⒊裝運(yùn)期限（Time of shipment）
合同簽訂生效后 天內(nèi)由中國(guó)主要港口啟運(yùn)。
The goods shall be transit from China Main Port within 45 days after the contract effected.
⒋裝運(yùn)嘜頭（Shipping Mark）：根據(jù)買(mǎi)方要求。By buyer’s options.
⒌裝運(yùn)港口：中國(guó)主要港口

⒎運(yùn)輸及保險(xiǎn)（Transport and Insurance）
由賣(mài)方負(fù)責(zé)安排運(yùn)輸并按合同貨價(jià)110%保全險(xiǎn)和戰(zhàn)爭(zhēng)險(xiǎn)。
The duty shall be burden by seller for transport and insurance. Covered by the seller for 110% of invoice value of goods shipped against all risks and war risk.
⒏付款條款（Terms of Payment）
以電匯方式付款：合同簽訂后5個(gè)工作日內(nèi)買(mǎi)方付合同金額30%，接到本合同第九條所規(guī)定的單據(jù)后，于30天之內(nèi)付清其余70%合同款.
T/T Payment shall be effected：30% total amount of the contract within 5 working days after the signing date of this contract, then 70% balance of the contract within 30 days after receipt of the documents stipulated under Clause 9 of this contract．
⒐單據(jù)（Documents）
⒐⒈賣(mài)方應(yīng)向買(mǎi)方提供已裝船清潔提單、發(fā)票、裝箱單。
⒐⒉賣(mài)方應(yīng)向買(mǎi)方提供空白背書(shū)、包括貨物運(yùn)至目的港的全部險(xiǎn)別及戰(zhàn)爭(zhēng)險(xiǎn)、標(biāo)注賠付地為中國(guó)、保險(xiǎn)金額為110%合同貨款的保險(xiǎn)單。
⒐⒈The seller shall provide the buyer with Clean On Board Bill of Lading, Invoice, Packing list.
⒐⒉The seller shall provide the buyer with the insurance policy for 110% of the total contract price showing claims payable in P. R. China , blank endorsed, covering transportation to destination against all risks and war risk.
⒑裝運(yùn)條款（Terms of Shipment）
⒑⒈裝運(yùn)船只由賣(mài)方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船
⒑⒉賣(mài)方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期在3個(gè)工作日內(nèi)以傳真通知買(mǎi)方
⒑⒈The carrying vessel shall be arranged by the seller , Partial shipments and transshipment are allowed.
⒑⒉The seller shall notify the buyer by FAX of the contract number ,name of goods ,quantity . name of the vessel and date of shipment within 3 working days, after loading is completed.
11．標(biāo)準(zhǔn)和檢驗(yàn)：
根據(jù)買(mǎi)方所提規(guī)格和技術(shù)標(biāo)準(zhǔn)，由生產(chǎn)廠家或商檢局提供質(zhì)量檢驗(yàn)證和重量證。
According to requirement of buyer, the certificates of quality and weight are issued by manufacturer or CCIB.
12．品質(zhì)/數(shù)量/重量之異議及索賠（Quality/Quantity/Weight Discrepancy and Claim）
買(mǎi)方若發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同所約定的規(guī)格和條件不符，除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買(mǎi)方可憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證書(shū)向賣(mài)方提出異議。品質(zhì)異議須于貨到目的港口岸之日起15天之內(nèi)提出，數(shù)量/重量異議須于貨到目的港口岸之日起15天內(nèi)提出。賣(mài)方收到異議后15天內(nèi)答復(fù)買(mǎi)方。
In case the quality and /or quantity /weight are found by the to be not in conformity with the Contract, the may lodge claim with the seller supported by survey report issued by an inspection organization agreed upon by both parties ,with the exception ,however ,of those claims for which the insurance company and /or the shipping company are to be held responsible .Claim for quality discrepancy should be filed by the within 15 days after arrival of the goods at the port of destination while for quantity /weight discrepancy claim should be filed by the within 15 days after arrival of the goods at the port of destination ,The seller shall ,within 15 days after receipt of the notification of the claim , send reply to the buyer。
⒔人力不可抗拒（Force Majeure）
若因人力不可抗拒原因?qū)е沦u(mài)方不能在本合同規(guī)定期限內(nèi)交貨或不能交貨，賣(mài)方對(duì)此不負(fù)責(zé)任。但賣(mài)方應(yīng)及時(shí)以傳真方式通知買(mǎi)方。如買(mǎi)方要求時(shí)， 賣(mài)方應(yīng)以掛號(hào)信的方式向買(mǎi)方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明。
All in case of Force Majeure, the seller shall not be held responsible for late delivery or non-delivery of the goods but shall notify immediately the buyer by Fax. The seller shall deliver to the buyer registered mail, if so requested by the buyer, a certificate issued by the China Council for the Promotion of International Trade or any competent authorities.
⒕仲裁（Arbitration）
凡因執(zhí)行本合同或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如不能協(xié)商解決，應(yīng)將爭(zhēng)議提交給中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，依據(jù)該會(huì)的仲裁規(guī)定進(jìn)行仲裁。仲裁裁決為終局裁決，對(duì)雙方都有約束力，仲裁費(fèi)用由敗訴方承擔(dān)， 除非仲裁機(jī)構(gòu)另有裁決。
Any disputes arising from the execution of, or in connection with this Contract, should be settled through friendly negotiation. In case no settlement can be reached, the case shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, for settlement by Arbitration in accordance with the Commission’s Provisional Rules of Procedure. The award rendered by the Commission shall be final and binding on both parties. The arbitration expenses shall be borne by the losing party unless otherwise awarded by the arbitration organization.
⒖合同生效（Effectiveness of contract）
本合同生效自買(mǎi)賣(mài)雙方簽字蓋章之日起生效。
This contract shall become effective upon and from the date when it is signed by the seller and the buyer.
⒗本合同以中英文書(shū)就，兩種文本具有同等法律效力。
The contract is concluded in Chinese and English with equal authenticity.
