在翻譯一個(gè)補(bǔ)充合同進(jìn)行搜索相關(guān)資源時(shí)，發(fā)現(xiàn)了這篇博文，覺(jué)得作者對(duì)于英文補(bǔ)充協(xié)議的起草分析的挺不錯(cuò)，轉(zhuǎn)來(lái)分享。
一般來(lái)說(shuō)對(duì)于合同的小修改，沒(méi)有必要重新簽訂合同，重新簽訂都是費(fèi)時(shí)費(fèi)力，也沒(méi)有必要，所以都用補(bǔ)充協(xié)議對(duì)原合同進(jìn)行修改。如果對(duì)合同改變重大的話，比如對(duì)方想換個(gè)姊妹公司來(lái)簽合同，或者合同條款有多處重大變更，可以說(shuō)從根本上改變了合同的內(nèi)容，都可以重新簽訂合同的。重新簽訂合同有兩種方式。一種是交出所有原合同的原件，然后廢除，撕毀都可以，然后再簽訂新合同；如果對(duì)合同原件到底有多少份不清楚的話，保險(xiǎn)起見(jiàn)可以先起草一個(gè)對(duì)原合同的終止協(xié)議，然后再簽新合同。當(dāng)然如果為了做到天衣無(wú)縫，兩個(gè)合同之間權(quán)責(zé)無(wú)縫轉(zhuǎn)移的話，我自己使用過(guò)這種模式，不用撕毀原合同或者起草終止協(xié)議，先在新合同中寫(xiě)終止原合同，一般寫(xiě)新合同生效后原合同立即終止，在新合同未生效前原合同保持有效。然后在新合同上蓋上三種章，第一種是原合同的對(duì)方的章，第二種是新合同的對(duì)方的章，第三種是我方的章，這樣操作有個(gè)缺點(diǎn)是財(cái)務(wù)看見(jiàn)合同上有三個(gè)章，如果她們不看合同內(nèi)容的話，有時(shí)候容易混淆合同內(nèi)容。
言歸正傳，給大家分享一個(gè)我起草的比較簡(jiǎn)單的補(bǔ)充協(xié)議。
忘了給大家說(shuō)了，之前跟一位做國(guó)際工程的朋友討論補(bǔ)充協(xié)議和變更怎么翻譯，我傾向于合同變更翻譯為amendment, 補(bǔ)充協(xié)議翻譯為addendum.不知道大家什麼意見(jiàn)？不過(guò)我自己一般都是不加區(qū)分的用amendment的。
EXPLOSIVES SALE AGREEMENT
Amendment to the Contract Agreement
Between
The XXX COMPANY
and
MULTI BIZ FZE
WHEREAS: The Explosives Sale Agreement with Contract No: XXX for the construction of XYZ Motorway Road Project has been signed on 11 March 2010 between XXX Company(hereinafter called "the Buyer") and the MULTI BIZ FZE(hereinafter called "the Seller").
評(píng)注:先說(shuō)我們什么什么時(shí)候簽訂了一個(gè)合同。
WHEREAS: The Buyer and the Seller have a meeting about the L/C and the Contract Agreement in the afternoon of 25 March 2010, the Seller suggested that the volume of the goods is excessive and deliver them in one time would be hard; the Seller further suggested that the transshipment would not affect the goods quality since the goods are loaded with containers in the whole shipping period, it is very normal for cargoes to be transshipped in international shipment.
評(píng)注：再說(shuō)這個(gè)合同要修改，為什么原因修改，也可以把談判的過(guò)程加上。
IT IS HEREBY AGREED as follows:

In order to ensure the smooth execution of the said Contract Agreement, it is agreed that the goods should be allow to transshipped and partial shipped; accordingly, delete the word "not" from second line, first paragraph of Clause 14 shipment of the Contract agreement (Contract No. CCCAAA-MBIZ-01-2010).
The Seller further agreed that the goods would all be delivered within two shipments.
評(píng)注：上面就是要修改的內(nèi)容了。
For any discrepancy between this amendment and any of the Contract Agreement, both parties agreed that this amendment to the Contract Agreement shall prevail.
評(píng)注：如果這個(gè)補(bǔ)充協(xié)議和之前簽訂的合同有沖突，那么以這個(gè)補(bǔ)充協(xié)議為準(zhǔn)，一般可以不寫(xiě)這一句，因?yàn)榉缮弦?guī)定一般是后面的文件有效，不過(guò)為了避免爭(zhēng)議，也為了保險(xiǎn)起見(jiàn)，我個(gè)人喜歡加上這一句。
